
There seems to be no end to the squabbles within the prestigious Alabang Country Club Inc.
Just last week, a number of members and shareholders of the elite club, including Salvador Lacson and Exequiel Lampa, demanded the board led by chair Jesulito Manalo, president Joaquin Bengzon, vice president Ferdinand Raquelsantos and treasurer Mariano Diokno Jr. to produce records pertaining to the compensation, benefits and other renumeration of club manager Rafael Llamas.
The demand for inspection and production of corporate records—coursed through counsel Divina Law—said that despite written requests for reports on the “substantial increases” in Llamas’ compensation, “no meaningful response has been received.”

Thus the disgruntled shareholders have stepped up their campaign. They now “formally demand” that they be allowed to inspect and secure copies of relevant records.

These include the minutes of the meetings of the board during which the appointment, reappointment, compensation, salary adjustments, incentives, benefits and other renumeration of the general manager were discussed, approved or ratified.
Failure to grant the request within July 13 to July 17 will constrain these club members to “pursue all remedies” available
under the Revised Corporation Code to compel inspection and protect their rights as members and shoulders, said the letter seen by Biz Buzz.
As to whether the board will be goaded into action remains to be seen, but it still has time to do so, if they will follow the deadline set by the board members unhappy with some of their decisions. INQ
